1. Eligibility and authority

You represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you access the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, in which case “you” includes the organization.

2. Changes to these terms

We may modify these Terms at any time. We will post the updated Terms on this page and revise the “Last updated” date. Material changes may be highlighted by additional notice where appropriate. Your continued use of the Site after the effective date of changes constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Site.

3. The Site does not create a client relationship

Content on the Site is provided for general information and marketing purposes only. Sending us a message, requesting a meeting, or downloading materials does not, by itself, create a client, advisory, or fiduciary relationship between you and Seoptimizes LLC. A professional engagement is formed only when both parties execute a separate written agreement (such as a statement of work, master services agreement, or order form) that expressly defines scope, fees, deliverables, and responsibilities.

4. Services and separate agreements

Seoptimizes provides software development, design, and related digital services as described on the Site in general terms. We operate as a fully remote company and typically deliver work using distributed collaboration tools unless a written engagement expressly provides otherwise. Any actual performance of services is governed solely by the applicable written contract between you and Seoptimizes LLC, including any exhibits, schedules, and change orders. In the event of a conflict between these Terms and a signed services agreement, the signed agreement controls for that engagement.

5. Acceptable use

You agree not to:

• Use the Site in violation of any applicable law, regulation, or third-party right;
• Attempt to gain unauthorized access to the Site, our systems, other users, or networks (including scanning, probing, or testing vulnerabilities without prior written authorization);
• Introduce malware, excessive automated traffic, or other harmful or disruptive code or activity;
• Copy, scrape, harvest, or extract data from the Site using automated means without our prior written consent, except as allowed by public search engines for indexing;
• Impersonate Seoptimizes LLC, Seoptimizes, or any person or entity, or misrepresent your affiliation;
• Use the Site to transmit unlawful, harassing, defamatory, obscene, or similarly objectionable content.

We may suspend or terminate access to the Site, in whole or in part, if we reasonably believe you have violated this Section or other provisions of these Terms.

6. Intellectual property rights

The Site and its entire contents, features, and functionality—including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, software, and the selection and arrangement thereof—are owned by Seoptimizes LLC, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent.

The Seoptimizes name, logos, and related marks are trademarks of Seoptimizes LLC or its affiliates. You may not use those marks without our prior written permission, except for fair nominative use to refer to us accurately.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes in connection with evaluating or procuring our services.

7. User content and feedback

If you submit comments, suggestions, ideas, or other feedback about the Site or our services (“Feedback”), you grant Seoptimizes LLC a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, reproduce, modify, distribute, and otherwise exploit the Feedback for any purpose without obligation or compensation to you, except where prohibited by law. You represent that you have all rights necessary to grant this license.

8. Third-party links and integrations

The Site may contain links to third-party websites, tools, or services. Those sites are not under our control, and we are not responsible for their content, privacy practices, or availability. Accessing third-party resources is at your own risk and subject to the third party’s terms and policies.

9. Disclaimers

To the fullest extent permitted by applicable law:

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND FUNCTIONALITY MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SEOPTIMIZES LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

Any statements regarding future capabilities, timelines, or outcomes on the Site are illustrative and not guarantees unless expressly stated in a signed written agreement for your specific project.

10. Limitation of liability

To the fullest extent permitted by applicable law:

IN NO EVENT WILL SEOPTIMIZES LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO SEOPTIMIZES LLC FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, IF ANY.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Seoptimizes LLC, its members, managers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any third-party right, including intellectual property or privacy rights.

12. Governing law and venue

These Terms and any dispute arising out of or related to the Site or these Terms (except disputes governed exclusively by a separate services agreement) shall be governed by the laws of the State of California, without regard to its conflict-of-law principles. Subject to applicable mandatory arbitration or venue rules, you and Seoptimizes LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in California, USA, for any action or proceeding not subject to arbitration or a conflicting forum selection in a signed services agreement.

13. Informal dispute resolution

Before filing any claim, you agree to contact us at hello@seoptimizes.org and attempt to resolve the dispute informally in good faith for at least thirty (30) days. Either party may pursue equitable relief in court without this waiting period where necessary to prevent irreparable harm.

14. Export and sanctions compliance

You may not use or export any portion of the Site in violation of U.S. export laws or regulations, or in violation of any applicable economic sanctions or embargoes. You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to comprehensive U.S. sanctions, unless authorized by law.

15. Electronic communications

You consent to receive communications from us electronically, including by email at the address you provide. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

16. Severability and survival

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) will survive any termination of your access to the Site.

17. Entire agreement (Site)

These Terms, together with our Privacy Policy and any additional terms referenced on specific pages of the Site, constitute the entire agreement between you and Seoptimizes LLC regarding use of the Site and supersede all prior understandings regarding the same subject matter. They do not modify or replace any executed services agreement between you and Seoptimizes LLC.
